Haroo ERP Terms & Conditions

Effective date: April 1, 2025. This document defines how your organization uses Haroo ERP in a secure, reliable, and compliant way.

1. Introduction

By accessing Haroo ERP, you agree to these Terms & Conditions, our privacy commitments, and any additional policies published for your subscription.

2. User Responsibilities

  • Provide accurate registration and company information.
  • Secure your credentials and report unauthorized activity immediately.
  • Use Haroo ERP only for lawful operations and business data.

3. Data Protection & Privacy

We protect your data with encryption, audit logs, and role-based access. We never sell your data and only process it to deliver our services.

4. Data Ownership

You retain ownership of your business data. Haroo ERP only processes your data to deliver the services and does not claim ownership or rights to it.

5. International Use & Compliance

If you operate outside Ethiopia, you are responsible for complying with local data protection, payroll, tax, and labor laws. Haroo ERP supports multi‑jurisdiction workflows but does not replace local legal advice.

6. Data Residency & Sub‑processors

We may store or process data in multiple regions to ensure performance and resilience. Approved sub‑processors are used only to deliver the service (e.g., hosting, email delivery, analytics).

7. Service Availability

Haroo ERP targets 99.9% uptime. Scheduled maintenance and emergency fixes may cause brief downtime with advance notice where possible.

8. Fees & Billing

Subscription tiers and usage limits are defined in your plan. Late payments can result in suspension until balances are cleared.

9. Security & Incident Response

We monitor for security threats and will notify you of material incidents affecting your data. You are responsible for maintaining secure access practices within your organization.

10. Limitations of Liability

Haroo ERP is provided “as is.” We are not liable for indirect damages, lost profits, or business interruptions.

11. Suspension & Termination

We may suspend accounts for policy violations, non-payment, or security risks. Termination results in data retention per your plan.

12. Updates

We may update these terms periodically and will notify you of significant changes.

13. Governing Law

These terms are governed by the laws of Ethiopia. Any disputes will be settled under Ethiopian jurisdiction.

14. Intellectual Property

Haroo ERP retains all intellectual property rights in the platform, documentation, and brand assets. You may not copy, modify, or redistribute the platform except as allowed by your subscription.

15. Confidentiality

Both parties agree to protect confidential information disclosed during the business relationship, including pricing, product roadmaps, and proprietary data.

16. Export Controls

You agree not to use Haroo ERP in violation of applicable export control or sanctions laws, including restrictions on users or jurisdictions where access is prohibited.

17. Force Majeure

Haroo ERP is not responsible for delays or failures caused by events beyond reasonable control, including natural disasters, civil unrest, or government actions.

18. Dispute Resolution

We encourage good‑faith negotiation before initiating formal legal action. Any formal disputes will be resolved under the governing law above.
